THESE ARE THE RULES (REFERRED TO COLLECTIVELY AS THE "QUIVERZ RULES") OF QUIVERZ, THE PRIVATE DATING CLUB OF QUINTESSENTIALLY.
IMPORTANT LEGAL NOTICE
ATTENTION: This legal notice applies to the entire contents of the Quiverz website under the domain name www.quiverz.com, and to any correspondence by e-mail between us and you. Please read these terms carefully before using the site. Using the site indicates that you accept these terms regardless of whether or not you choose to register with us. If you do not accept these terms, please do not use the site.
Quiverz is owned and operated by Quiverz Limited ("Quiverz"). As a registered Member of Quiverz ("Member"), you agree that your Quiverz membership ("Membership") is subject to the following Quiverz Rules and you agree to abide by them.
1. QUIVERZ
1.1. Quiverz is an online membership dating club owned and operated by Quiverz Limited.
1.2. Access to and use of the Members' section of the site is through a combination of user name and password and is reserved exclusively for Members. You are solely responsible for maintaining the confidentiality of your user name and password and you agree to notify us immediately if you believe that there has been any breach of security (e.g. the unauthorised use of your name and password). You are accountable for all activities regarding your Membership, with or without your knowledge or permission.
1.3. You automatically grant to Quiverz a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right to display any content that you submit or post on the Site.
1.4. We will never rent or sell your personally identifiable information to third parties without your consent.
1.5. We will never share your contact information with another Member, without your consent.
2. QUIVERZ MEMBERSHIP
2.1. There are three categories of Quiverz Membership: Classic, Quintessence and Events Only.
2.2. Membership fees for Classic, Quintessence Memberships and Events Only will be communicated to you prior to joining and prior to any renewal.
2.3. Quiverz reserves the right to increase or decrease Membership fees from time to time. Quiverz will notify the Member of any change in Membership fees via email following any such change.
2.4. No refunds or extensions will be given if you are unable to use your Membership at any stage during this time. Your Membership fee will only be refunded at Quiverz's sole discretion taking into account the circumstances of any request for a refund.
2.5. Any Membership fees are due and payable in advance for the relevant Membership payment period. Membership fees are payable by direct debit or by credit/debit card. In the event of account expiry, the membership fee will be deducted automatically from the account associated with the payment details you have specified, unless otherwise requested. A request to change your account details [or terminate your membership] must be received no less than 30 days before the next payment period. (If, during the course of your current Membership, you wish to upgrade your Membership, the difference in price between the two categories of Membership will be payable.
2.6. Quiverz may, for any reason whatsoever, immediately terminate or suspend your Membership and access to the Site without prior notice. Quiverz shall not be liable to you, nor any third-party, for the termination of your Membership or access to the Site.
2.7. You must be at least 18 years old to register on the Site.
3. USING YOUR QUIVERZ MEMBERSHIP
3.1. You may not falsely state, impersonate, or otherwise misrepresent your identity including, but not limited to, the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present.
3.2. You may not upload post, email, transmit or otherwise make available any unsolicited or unauthorised advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
3.3. You may not upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
3.4. You may not post content or initiate communications which are unlawful, libellous, abusive, obscene, discriminatory, or otherwise objectionable.
3.5. You agree that you will not stalk or harass another Member.
3.6. You may not upload, post, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law, or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements).
3.7. You may not upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights and you agree to indemnify Quiverz in respect of any claims, liabilities or losses which it incurs in respect of any breach of this obligation.
3.8. You may not upload post, email, transmit or otherwise make available any content or initiate communication which includes nudity, pornography and images of a sexual nature.
3.9. You may not monitor, data-mine, or copy our web pages or any content within the Site, nor collect, archive, trade or sell any personal data or communications about other Members.
3.10. You may not use any robot, spider, site search or retrieval application, or any other device to copy, retrieve, and archive or index any portion of the Site.
3.11. You may not solicit personal information from anyone under the age of 18.
3.12. You may not create multiple logins.
3.13. You may only contribute generated content to the Site if it is in accordance with this section.
4. DISCLAIMER
4.1. You understand and agree that access to the Site is provided on an as is and as available basis and that Quiverz does not assume any responsibility for prompt or proper delivery, or retention of any user information or communications between users. Quiverz assumes no responsibility for the accuracy or existence of any communications between users. Quiverz expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Quiverz makes no warranty that (i) Quiverz Membership will meet your requirements, (ii) Quiverz Membership will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from use of the Quiverz Membership will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Site will meet your expectations, and (v) any errors in the software will be corrected.
4.2. No advice or information, whether oral or written, obtained by you from Quiverz or through or from Quiverz Membership shall create any warranty not expressly stated in this user agreement.
4.3. Any material downloaded or otherwise obtained through the use of Quiverz Membership is done at your own discretion and risk and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
4.4. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
4.5. Be aware that Quiverz does not conduct criminal background checks on users and Quiverz will fully cooperate with law enforcement authorities or court orders requesting the disclosure of the identity of anyone posting illegal material on the site.
5. LIABILITY
5.1. We reserve the right to remove any content posted by you or other Quiverz Members at our sole discretion, in the event that we consider the content may infringe or violate any party's intellectual property or privacy or for any other reason including that it is obscene, unlawful, threatening or defamatory.
5.2. You understand and agree that you may encounter material with which you disagree or find objectionable. You accept this and do not hold Quiverz liable for this.
5.3. We make no representations in respect of the reliability, truthfulness, or accuracy of any content posted on the Site.
5.4. You expressly understand and agree that Quiverz shall not be liable for any indirect, incidental, special, consequential or exemplary losses or any direct loss of profits, goodwill, use, data or other intangible losses (even if Quiverz has been advised of the possibility of such losses). Some jurisdictions do not allow the exclusion of the limitation or exclusion of liability for losses or damages. Accordingly, some of the above limitations may not apply to you.
5.5. This section applies only to the extent permitted by law.
6. CHANGES TO THESE CLUB RULES
6.1. Quiverz may vary these Quiverz Rules from time to time and will notify you of any changes in a timely manner through the Site or by e-mail.
7. COPYRIGHT
7.1. Quiverz owns, or is lawfully entitled to all of the copyright in the Site. All other intellectual property rights are reserved. This Site is for your personal use only - you may not use it for commercial purposes. You may only download to your personal computer for viewing purposes and print out a number of pages of this Site for your personal use. You may not modify copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information obtained from this Site.
8. INDEMINIFICATION
8.1. To the maximum extent permitted by applicable law, you agree to indemnify, Quiverz for any claims, causes of action, debts, losses, costs, liabilities and expenses (including reasonable legal fees) arising, directly or indirectly, out of any violation of the terms made by you.
9. APPLICABLE LAW JURISDICTION
9.1. These Quiverz Rules and your Quiverz Membership are governed by the laws of, and are subject to the exclusive jurisdiction of the courts of England and Wales.
